Terms of engagement

These terms govern use of the website at servervalleycloud.digital and professional engagements with Server Valley Cloud (“we,” “us”) for audits for fintech operators and related reviews. By using the site or commissioning work, you accept these terms.

Acceptance

Accessing the site or submitting an engagement brief constitutes acceptance of these terms. If you do not agree, discontinue use and do not submit personal information through our forms.

Services described

Pages describing engagements, fees, and methodology are informational. A binding engagement exists only when both parties sign an engagement letter stating scope, fees, independence terms, and delivery dates. Online fee figures are starting points, not offers to the public at large.

Intellectual property

Site content, including text, layout, and graphics we create, remains our property or that of our licensors. Engagement deliverables (findings reports and exhibits) are licensed to the commissioning client for internal governance and supervisory use. Redistribution, publication, or resale of reports without written consent is prohibited, except where a regulator requires disclosure.

Client responsibilities

You must provide accurate information, timely access to documents and personnel, and a named liaison. Delays in access may extend timelines and fees as set out in the engagement letter.

Independence

We do not provide remediation delivery on issues we rated in the same engagement period. Attempts to condition findings on future advisory work are grounds for termination without refund of work already performed.

Liability

To the fullest extent permitted under the laws of Taiwan, our aggregate liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect, incidental, or consequential losses, including lost profits, supervisory fines imposed by authorities, or decisions made solely by your board. Nothing in these terms excludes liability that cannot be limited under Taiwanese law.

Governing law

These terms and any dispute arising from site use or engagements are governed by the laws of Taiwan (Republic of China). Courts in Taiwan have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
